These terms are the agreement between you and Alex Fernández Sabaté, an individual entrepreneur trading as Nodra (NIF 21764200J, contact legal@nodranotes.com; full details in our legal notice), for the use of Nodra. "We" and "us" mean Nodra; "you" means the person who uses it. By creating an account or using Nodra you accept these terms. Please also read our Privacy Policy and, if you buy a paid plan, our Refund Policy.
1. The service
Nodra adds to a normal Obsidian vault:
- the Nodra plugin for Obsidian, which syncs your vault between your devices;
- encrypted cloud storage and version history for your vault;
- the web app at app.nodranotes.com, where you can open and edit your vault in any browser with a Markdown editor.
Your vault stays a folder of plain Markdown files on your devices. There is no lock-in: you can stop using Nodra at any time and keep your files. Nodra does not run Obsidian in the browser or its community plugins. Obsidian is a trademark of Dynalist Inc. Nodra is not affiliated with Obsidian.
Nodra is at an early stage. We are actively developing it, and features may change, be added or be removed (section 10).
2. Your account
- You must be at least 14 years old to use Nodra. To buy a paid plan you must be legally able to enter into a contract, or have the consent of a parent or guardian.
- Give us a valid email address that you control and keep it up to date: it is how you sign in, how a Managed account is recovered and where we send security notifications.
- Keep your login credentials, devices and any kits safe. You are responsible for what happens under your account. Tell us at once at legal@nodranotes.com if you think someone else has access to it.
- Check the security notifications Nodra shows and emails you, and act on any you do not recognise.
3. Protection modes and your keys
Every account uses one of two protection modes, explained in detail on our home page and in our Privacy Policy.
Managed mode (the default)
Your vault content is encrypted in transit and at rest, and our server keeps an escrow of your keys. You have nothing to store or remember, and you can recover your account through your login email. Because the login is enough to unlock the account, whoever controls your login email controls your account and its content: protect that email account well.
Private mode (optional, on every plan)
In Private mode, your vault is encrypted on your device before it reaches our servers, and Nodra cannot read your notes. Private mode keeps no escrow: you alone hold your Encryption Password, your Secret Key and your Recovery Kit, and we never store your Encryption Password or your Secret Key.
If you lose your Encryption Password or your Secret Key and you also lose your Recovery Kit, your data cannot be recovered. Nobody can recover it, us included. This is how Private mode is designed to work, not a fault of the service.
In Private mode your Recovery Kit works like a master key: anyone who gets it can read your existing content and try to take over your account, so keep it offline and safe. Using it also requires access to your login email account; it does not replace it.
Private mode protects the content of your vault, not everything about it: our servers still see the metadata described in our Privacy Policy, and no encryption protects you against malware on your own device. Nodra has not yet had an external review of its cryptography.
4. Your content
Your notes and files belong to you. You give us only the permission we need to store, copy, transmit and sync them, in encrypted form, in order to provide Nodra to you. This permission ends when the content is deleted from our systems as described in our Privacy Policy. You are responsible for the content you store and for having the right to store it.
5. Acceptable use
When you use Nodra, you must not:
- store or share content that is illegal, including content that sexually exploits children, infringes others' intellectual property or privacy, or contains malware;
- use Nodra as a file host or content delivery network for distributing files to other people;
- abuse storage or plan limits, for example by creating several accounts to get around the limits of a plan, or by deliberately overloading the service;
- attack, probe or disrupt the service or other users, try to access accounts or data that are not yours, or get around our security measures or limits;
- resell or sublicense Nodra without our written permission.
If you find a security vulnerability, please report it to legal@nodranotes.com and give us reasonable time to fix it before disclosing it. Good-faith research that respects these limits and other users' data is welcome.
If you break these rules, we may limit or suspend your account in proportion to the problem (section 11). We are not able to inspect the content of Private vaults, and we do not routinely inspect Managed vaults; we act on reports, legal orders and evidence of abuse of the service.
6. Plans, limits and changing plan
Nodra offers a Free plan and paid plans (Pro and Max). Each plan has limits on storage, number of vaults, plugin installations, file size and how long version history is kept, as shown on our pricing page. Web sessions do not count against any limit, and Private mode is available on every plan.
- Upgrading (Free to a paid plan, Pro to Max, or monthly to annual) takes effect immediately. Between paid plans, Paddle charges the prorated difference straight away.
- Downgrading between paid plans (Max to Pro, or annual to monthly) takes effect immediately, and Paddle credits the unused part of what you paid towards your future payments.
- Cancelling takes effect at the end of the current billing period. You keep your paid plan until then, and then your account moves to Free.
A move to a lower plan, for any reason, never deletes your current data. It only lowers the limits that are checked when your data grows:
- if you are over the storage limit, you can still read, edit and delete, but you cannot add more data until you are under the limit;
- files larger than the new per-file limit stay readable, and can be renamed and deleted, but a new version above the limit cannot be uploaded;
- vaults and plugin installations above the new limits keep working, but you cannot create or add new ones until you are under the limit; nothing is removed automatically;
- your previous, longer history period keeps applying for 30 days. After those 30 days, versions older than your new plan's history period are deleted. If you upgrade again within the 30 days, you lose nothing.
7. Payments
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
When you buy a paid plan, you buy it from Paddle.com Market Ltd, and Paddle's Buyer Terms apply to the purchase as well as these terms. Paddle processes the payment, issues your invoice and handles taxes. We never see your card details.
- Prices. In eurozone countries, prices are in euros and include VAT. Everywhere else, prices are in US dollars and exclude sales tax or VAT, which Paddle adds at checkout where it applies. The checkout always shows the final amount before you pay.
- Automatic renewal. Subscriptions renew automatically, monthly or yearly depending on what you chose, and Paddle charges the payment method you used until you cancel.
- Cancelling. You can cancel at any time from "Plan and billing" in the web app's settings, which opens Paddle's customer portal. Cancellation takes effect at the end of the period you have already paid for.
- Failed payments. If a renewal payment fails, you keep your paid plan while Paddle retries the payment for up to about 30 days. If it still fails, the subscription is cancelled and your account moves to Free.
- Price changes. If we change the price of a plan, your current subscription keeps its price unless we tell you by email at least 30 days before a new price applies to your next renewal. You can cancel before that renewal.
- Refunds. See our Refund Policy: any payment can be refunded in full if you ask within 14 days.
8. Availability
We work to keep Nodra available and your data safe, but Nodra is an early-stage service and we cannot promise that it will be uninterrupted or error-free. We may need to interrupt it for maintenance or security reasons; when we can, we will warn you in advance. Because your vault remains on your own devices as plain Markdown files, a service interruption does not take your notes away from you.
9. Liability
We provide Nodra with reasonable care and skill. Beyond that, and to the extent the law allows, Nodra is provided "as is" and "as available", without other guarantees. In particular, we are not responsible for loss of data caused by the loss of your Private mode secrets and Recovery Kit (section 3), or by someone else using your login or devices because they were not kept safe.
Nothing in these terms limits or excludes your statutory rights as a consumer, including your rights if the service does not conform to the contract, or any liability that cannot be limited or excluded by law, such as liability for fraud, wilful misconduct or gross negligence, or for death or personal injury caused by negligence.
If you use Nodra for business purposes, and to the extent the law allows, our total liability to you is limited to the amount you paid for Nodra in the 12 months before the event giving rise to the claim, and we are not liable for indirect loss or loss of profit.
10. Changes to the service
We may change, add or remove features to improve Nodra, keep it secure or comply with the law. If a change significantly reduces what a paid plan gives you, we will tell you at least 30 days in advance and you can cancel and receive a refund of the unused part of the period you have paid for. If we ever stop offering Nodra, we will give you at least 60 days' notice, refund any unused prepaid period and keep your data available for you to sync during that time.
11. Suspension and termination
You can stop using Nodra at any time, cancel any subscription and ask us to delete your account by writing to legal@nodranotes.com. Account deletion is scheduled 14 days ahead, so it can be cancelled, and then your data is deleted as described in our Privacy Policy.
We may suspend or close your account if you seriously or repeatedly break these terms, if the law requires it, or to protect the service or other users. Unless the law or an urgent security reason prevents it, we will tell you why in advance and give you a chance to fix the problem and to sync your data to your devices. If we close a paid account without any fault on your part, we will refund the unused part of the period you have paid for.
12. Changes to these terms
We may update these terms, for example when Nodra changes or the law requires it. We will publish the new version on this page and, for significant changes, email you at least 30 days before they take effect. If you do not agree, you can stop using Nodra and cancel your subscription before the changes apply; if the changes are to your disadvantage, we will refund the unused part of the period you have paid for.
13. Governing law and disputes
These terms are governed by Spanish law. If you are a consumer, this choice does not deprive you of the protection of the mandatory laws of the country where you live, and you may bring a claim in the courts of your place of residence. If you use Nodra for business purposes, the courts of Spain have jurisdiction.
If you have a complaint, please write to us first at legal@nodranotes.com; we will try to solve it quickly. We do not currently take part in any consumer alternative dispute resolution scheme.
